These Terms of Service are a legally binding contract between you and Vocaloco regarding your use of the Service. IF YOU DO NOT AGREE TO THE TERMS, YOU MAY NOT USE THE SERVICE. CONSENT TO COMMUNICATIONS. You consent to receive SMS texts, push notifications, and email messages from or on behalf of Vocaloco as described in Section 9. YOU UNDERSTAND THAT YOUR CONSENT IS NOT A CONDITION OF PURCHASE AND YOU MAY OPT OUT AT ANY TIME. ARBITRATION NOTICE. EXCEPT FOR CERTAIN KINDS OF DISPUTES DESCRIBED IN SECTION 17, DISPUTES ARISING UNDER THESE TERMS WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU WAIVE THE RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN ANY CLASS ACTION. ## 1 Service Overview Vocaloco provides software that enables users to engage in short, AI‑powered language‑learning conversations with an animated mascot character (the "Character"), receive AI‑generated feedback, track vocabulary, and measure progress over time. The Service uses third‑party AI technologies, including, without limitation, OpenAI GPT‑4o Mini and Whisper (the "AI Models"), to generate conversational responses ("Output") based on user prompts ("Input"). ## 2 Eligibility You must be at least 13 years old to use the Service. Users aged 13‑17 must have parental consent. By using the Service, you represent that you meet these requirements. ## 3 Account Registration To access certain features, you may need to create an account. You agree to provide accurate information and keep it updated. You're responsible for your account security and all activities under your account. ## 4 Subscription Terms ### 4.1 Free Trial We may offer free trials. During the trial, you have access to premium features. The trial automatically converts to a paid subscription unless cancelled. ### 4.2 Billing Subscriptions are billed in advance on a recurring basis. Prices are subject to change with notice. Refunds are handled according to the app store's policies. ### 4.3 Cancellation You may cancel your subscription at any time through your device settings or the app store. Cancellation takes effect at the end of the current billing period. ## 5 Acceptable Use You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not: - Violate any laws or regulations - Infringe on others' rights - Upload harmful or malicious content - Attempt to reverse engineer the Service - Use the Service for commercial purposes without permission ## 6 Intellectual Property The Service and its content are owned by Vocaloco and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute our content without permission. ## 7 Third‑Party Terms The Service may link to or integrate third‑party services. Your use of those services is at your own risk and subject to their terms. Vocaloco is not responsible for third‑party content or practices. ## 8 User Content ### 8.1 Definitions Input: Voice or text you submit to the Service for processing. Output: AI‑generated content returned by the Service. Non‑Input Content: Any other content you provide (e.g., display name). ### 8.2 Your Rights You retain ownership of Input and Non‑Input Content. Subject to law, Vocaloco assigns to you any rights it may have in Output. ### 8.3 Licence to Vocaloco You grant Vocaloco a worldwide, royalty‑free licence to host, store, reproduce, and use your Input and Non‑Input Content to operate, improve, and develop the Service and the underlying AI Models. Do not submit sensitive personal or health information. ### 8.4 Content Standards & Enforcement You represent that your content is lawful and non‑infringing. We may remove or restrict content at our discretion. ## 9 Communications ### 9.1 Text Messaging By providing your phone number, you consent to receive SMS from us. Text STOP to opt‑out of marketing texts or STOPALL to opt‑out of all texts (which may affect your use). Carrier rates apply. ### 9.2 Push Notifications & Email Control push notifications via device settings and unsubscribe from marketing emails via the link in each message. ## 10 Prohibited Conduct You agree not to: - Use the Service for medical, legal, investment, or other professional advice; - Violate laws or third‑party rights; - Mine or scrape data, or use the Service to train AI models; - Introduce malware or interfere with the Service; - Misrepresent Output as exclusively human‑generated; - Sell or transfer your account; or - Assist anyone in violating these Terms. ## 11 Intellectual‑Property Rights Protection (DMCA) We respect IP rights. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. ## 14 Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOCALOCO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. ## 15 Indemnification You agree to indemnify and hold harmless Vocaloco from any claims, damages, or expenses arising from your use of the Service or violation of these Terms. ## 16 Termination We may suspend or terminate your access to the Service at any time for any reason. Upon termination, your right to use the Service ceases immediately. ## 17 Dispute Resolution Most disputes can be resolved informally. For formal disputes, you agree to binding arbitration on an individual basis, waiving your right to jury trial or class action. ## 18 General Terms Governing Law.
